前言
QIAN YING ENTERPRISE(以下稱「本公司」)為 YaY Live(以下稱「本平台」或「本服務」)之開發者及營運者。為保障您(以下稱「用戶」)之權益,請於註冊、登入或使用本平台服務前,詳細閱讀以下規定(以下簡稱「本條款」)。當您點選登入時,即表示您已詳細審閱並了解本條款,並同意完全遵守本平台之管理規範、規範。
若您為未滿十八歲之未成年人,應於法定代理人(監護人)陪同下仔細閱讀並充分理解本條款,並取得法定代理人之同意後,始得使用本產品。
本平台主要於台灣、香港、新加坡及馬來西亞等地區提供服務,用戶應同時遵守其所在地區之相關法令規定。
本條款內容由本公司隨時更新,您可在本產品查閱最新版條款。更新後之條款一旦公布,即代替原條款。條款更新後,如您不同意接受,不應繼續使用本產品所提供之服務。
本產品及相關服務或營運之需要,得由本公司單方決定,安排或指定其關聯方、控制公司、繼承公司或本公司認可之第三方公司繼續營運本產品。
一、帳號註冊與使用要求
1. 您同意於註冊加入新會員時提供詳實之個人資料,所登錄之資料若事後有所變更時,應隨時於線上更新。如您提供之個人資料有任何不實(如使用虛偽不實之方式進行儲值,亦屬個人資料不實)或誤導之嫌,本公司得隨時終止您之會員資格及使用各項服務之權利。
2. 您必須自行選擇您的帳號名稱及密碼來建立帳號。若您的帳號名稱侵犯任何版權或商標,本公司保留刪除您帳號之權利。
3. 一個帳號在同一時間只能有一人使用。您於 YaY Live 之註冊帳號所有權及有關權益均歸本公司所有,您完成註冊手續後僅享有該帳號之使用權。您必須就您的帳號及密碼之保管負全責;並且同意您不會將帳號、密碼轉讓、出租或出借予他人使用。
4. 若您發現所擁有之帳號遭人非法使用或有任何異常破壞使用安全之情形時,請立即通知本公司;惟若是因為您的保管疏失,導致帳號密碼遭他人非法使用時,本公司將不負責處理。
5. 您理解並同意,如您在註冊後連續超過1年未登入使用帳號,本公司有權隨時停用或刪除您帳號,此時帳號內點數將失效(法律另有規定者,從其規定)。
6. 當您希望永久停止使用您註冊之帳號時,您可以根據本公司提供之帳號註銷流程以註銷該帳號。請注意,為了保障您、本公司或其他相關人士之利益,本公司會對您的帳號進行檢視以確認是否允許您註銷該帳號。本公司僅對您的註銷帳號行為進行必要且合理的驗證和檢查,並不會過度限制您的權利;若您的帳號存在本公司認為不適宜註銷之情況,本公司可能會限制您的帳號註銷行為。
二、服務內容要求
1. 您使用本產品,可以透過預裝、本公司已授權的第三方下載等方式獲取產品客戶端應用程式或訪問相關網站。若您並非從本公司或經本公司授權的第三方獲取本產品軟體的,本公司無法保證非官方版本的產品軟體能被正常使用,您因此遭受的損失與本公司無關。
2. 您充分理解並同意:本產品是一個基於用戶關係網的點對點資訊服務平台。您須對在平台上註冊資訊之真實性、合法性、有效性承擔全部責任,不得冒充他人或利用他人的名義傳播任何資訊,不得惡意使用註冊帳號導致其他用戶誤認。否則,平台有權立即停止提供服務,註銷您的帳號,您應自行承擔由此而產生的一切法律責任。
3. 本產品對您上傳之所有資訊的真實性、合法性、無害性、有效性等不負任何單獨或連帶之保證責任,您因其所傳播之資訊而引發之相關法律責任由您自行承擔。
4. 為提高您上傳、傳輸內容的曝光量及發布效率,您同意您在本產品帳號及本產品其他版本(後續開發之其他版本等)之帳號所發布之全部內容均授權本公司以您的帳號在各個版本間自動同步。您在平台發布、修改、刪除、設置等操作,均會同步到上述產品各版本。
5. 您充分了解並同意,YaY Live 僅提供資訊分享、傳送及獲取之平台,用戶必須為自己註冊帳號下之一切行為負責,包括您所傳送之任何內容以及由此產生之任何結果。於使用本服務時若有任何違反法律規定之情事,包括但不限於侵害本公司或第三人之知識產權或其他權利、利益之行為,應自負相關法律責任。如違反法律、本條款或本公司相關會員規範之規定,致本公司受有損害、支出費用或遭第三人求償,應對本公司負損害賠償責任。用戶亦應對本產品中之內容自行加以判斷,並承擔因使用內容所引起之所有風險,包括用戶因內容之正確性、完整性或實用性之依賴所造成之風險。本公司無法且不會對用戶任何行為或損失承擔責任。
6. 您在本服務中或透過本服務所傳送之任何內容並不代表本公司之觀點或政策,本公司將不會對此承擔任何責任。
7. 您充分理解並同意:因業務發展需要、突發情勢等,本產品可能會暫時變更、暫停、限制或終止本產品部分或全部服務,本公司將努力但不保證能做到事先通知。
8. YaY Live 提供之服務中可能包括廣告,您同意在使用過程中呈現 YaY Live 和第三方供應商、合作夥伴之廣告。您應當自行判斷該廣告或推廣資訊之真實性和可靠性並為自己的判斷行為負責。除法律法規明確規定外,您因該廣告或推廣資訊進行之購買、交易或因閱讀該內容遭受的損害或損失,您應自行承擔,YaY Live 不予承擔責任。
三、禁止行為
除了遵守本條款及本平台相關會員規範外,您在使用 YaY Live 時(例如發文、發布語音訊息、貼照片、短影片等)同意遵守法律法規、社會善良風俗及互聯網國際使用慣例與禮節之相關規定。您不得利用本服務從事下列行為(以下列舉為例示,非窮盡):
1. 危害國家安全、洩露國家機密或損害國家名譽及利益;
2. 煽動種族仇恨、帶有種族歧視、破壞民族團結;
3. 散布謠言、擾亂社會秩序、破壞社會穩定;
4. 猥褻、賭博、暴力、凶殺、恐怖或教唆犯罪(含高危險性、危害表演者自身或他人身心健康之內容);
5. 侮辱或誹謗他人;
6. 違法侵害他人智慧財產權或其他權利(包括但不限於姓名權、肖像權、名譽權、隱私權、代理權);
7. 張貼、散布、傳送、公開播送或以其他任何方式展現私人的、特許的、專屬的、攻擊性的、恐嚇的、暴力的、煽動暴力的、裸露的、歧視性的、不法的、仇恨性的、騷擾性的、猥褻色情的或具性暗示的資料、文字、檔案、圖像、使用者名稱、圖像、圖畫、圖片、圖示、照片、素描、聲音及影像剪輯、聲明、音樂作品、著作、連結或任何其他內容;
8. 散布商業廣告,或類似的商業招攬資訊、過度行銷資訊及垃圾資訊;
9. 利用本平台進行洗錢、恐怖主義活動資金籌集,或向任何可能受制裁之人士或實體提供金融及其他受限服務;
10. 其他違反法律、本條款或 YaY Live 相關會員規範之規定,或有背於公共秩序或善良風俗之內容;
11. 包含恐怖、暴力血腥、高危險性、危害表演者自身或他人身心健康內容,包括但不限於:任何暴力和/或自殘行為內容;任何威脅生命健康、利用刀具等危險器械表演危及自身或他人人身及/或財產權利之內容;慫恿、誘導他人參與可能會造成人身傷害或導致死亡之危險或違法活動之內容。
YaY Live 有權依其合理判斷,針對有違反法律、本條款或 YaY Live 相關會員規範之處,或有侵犯、妨害、威脅任何人權利或安全之處的內容,或者假冒他人之行為,依法停止傳輸任何前述內容,並有權自行判斷對違反條款之任何人士採取適當之法律行動,包括但不限於從本服務中刪除具有違法、侵權、不適當等內容,終止違反者之會員資格,阻止其使用 YaY Live 全部或部分服務,並依據法律規定保存有關訊息並向有關單位呈報等。
四、智慧財產權
YaY Live 上的所有著作、服務軟體、畫面安排或所涉及之圖片、文字或其組成以及其他 YaY Live 標誌及產品、服務名稱等資料,其著作權、專利權、商標、營業秘密及其他知識產權、所有權或其他權利,均屬 YaY Live 或其權利人所有。除事先經 YaY Live 或其個別權利人之合法授權外,任何人皆不得擅自以任何形式重製、改作、編輯、散布、傳輸或基於租用、出售、出借或其他目的加以使用,違者應自負所有法律責任,YaY Live 得依法請求賠償。
五、隱私保護
除非法律規定或因相關主管機關要求外,YaY Live 在未獲您授權時,不會任意出售、交換、出租或公開您的姓名、地址、電子郵件信箱,以及其他依法受保護之個人資訊。您也同意 YaY Live 於法律許可之範圍內,允許 YaY Live 之關係企業或合作夥伴使用您的個人資料以提供其他服務。您同意 YaY Live 得就您的個人資料作成會員統計資料;如該統計資料不涉及揭露任何會員之個人身份,您同意並允許 YaY Live 為任何合法公開之使用。您同意 YaY Live,於下列情形發生時,得依法公開您的個人資訊:
1. 受司法、警察或其他有權機關基於法定程序之要求;
2. 因您的行為違反法令、本條款或 YaY Live 相關會員規範之規定時;
3. 依法令之規定在緊急情況下為保障 YaY Live 其他會員或第三人之人身安全時。
Cookie 之使用:在您未拒絕接受 cookies 的情況下,本應用會在您的設備上設定或取用 cookies,以便您能登入或使用依賴於 cookies 的本應用平台服務或功能。本應用使用 cookies 可為您提供更加周到的個性化服務,包括推廣服務。您有權選擇接受或拒絕接受 cookies,您可以透過修改設置的方式拒絕接受 cookies。但如果您選擇拒絕接受 cookies,則您可能無法使用依賴於 cookies 的本應用網路服務或功能。透過本應用所設 cookies 所取得之有關資訊,將適用本政策。
資訊安全:請用戶注意勿在使用 YaY Live 服務中透露自己的各類財產帳戶、銀行卡、信用卡、第三方支付帳戶及對應密碼等重要資訊、資料,否則由此帶來之任何損失由用戶自行承擔。用戶在使用 YaY Live 服務時不可將自認為隱私的資訊發表、上傳至 YaY Live,也不可將該等資訊透過 YaY Live 之服務傳播給其他人,若用戶自身的行為引起之隱私洩露,由用戶自行承擔責任。YaY Live 在提供服務時可能會蒐集用戶資訊,YaY Live 將告知用戶用意來源。用戶知悉並了解,就下列相關事宜之發生,YaY Live 不承擔任何法律責任:
1. YaY Live 根據法律規定或相關政府、司法機關之要求提供您的個人資訊;
2. 由於用戶將帳號資訊和密碼等重要資訊告知他人或與他人共享註冊帳號,由此導致之任何個人資訊洩露,或其他非因 YaY Live 之原因導致之個人資訊洩露;
3. 任何由於駭客攻擊、電腦病毒侵入造成之資訊洩露;
4. 因不可抗力導致之資訊洩露。
六、個人資料保護
YaY Live 依適用法域(台灣、香港、新加坡、馬來西亞)個人資料保護相關法令規定,告知以下個人資料保護事宜:
1. YaY Live 可能因會員註冊、瀏覽網頁或 APP、線上交易、線上活動、提供服務、行銷推廣等目的,依 YaY Live 隱私權保護政策、個人資料保護法及相關法令之規定,蒐集、處理及利用您的個人資料。
2. 您可依需要提供以下個人資料:姓名、出生年月日、聯絡方式(包括但不限於電話號碼)、E-MAIL 或居住地址,或其他得以直接或間接識別您個人之資料。
3. 您同意 YaY Live 得以您所提供的個人資料進行輔助程式查緝、個人資料變更確認、訊息宣傳、社群聯繫、活動得獎通知、規範修改通知等服務,以便確認您的身份、與您進行連絡、提供您 YaY Live 及關係企業或合作伙伴之相關服務及資訊,以及其他隱私權保護政策規範之使用方式。
4. 您同意 YaY Live 利用您的個人資料之期間,自即日起至您與 YaY Live 間所有契約均終止期止。
5. 您可依個人資料保護法,就您的個人資料向 YaY Live (1) 請求查詢或閱覽,(2) 請求補充或更正。但因 YaY Live 執行職務或業務所必須者,YaY Live 得拒絕之。
6. 您可自由選擇是否提供 YaY Live 您的個人資料,但若您所提供之個人資料,經檢舉或 YaY Live 發現不足以確認您的身份真實性或有其他個人資料冒用、盜用、資料不實等情形,YaY Live 有權暫時停止提供對您之服務,亦包含任何活動得獎、各類宣傳等,若有不便之處敬請見諒。
7. 當您使用 YaY Live 充值消費功能時,我們會收集您的充值記錄、消費記錄資訊,以便您查詢自己的交易記錄,同時盡最大程度保護您的財產、虛擬財產安全。上述資訊屬敏感資訊,但收集上述資訊為實現相關功能所必須,否則將無法完成交易。我們無法僅根據該資訊獲得您的個人財產資訊,也不能識別特定自然人身份資訊。
8. 除上述之個人資料保護事宜外,本服務條款內,各類包含個人資料保護之項目,亦涵蓋在內。
七、服務中止、終止與變更
1. 於發生下列情形之一時,YaY Live 有權停止或中斷提供服務,對因此而產生之困擾、不便或損害,YaY Live 對任何會員或第三人均不負任何責任:
(1) 對本服務之相關軟硬體設備與電子通信設備進行必要之保養及施工時;
(2) 發生突發性之軟硬體設備與電子通信設備故障時;
(3) 在緊急情況下為維護其他會員或第三人之人身安全時;
(4) 任何因第三人可能透過本服務傳輸的任何軟體錯誤、病毒、木馬或類似性質的程式而致 YaY Live 無法提供全部或一部服務時;
(5) 因天災等不可抗力之因素致使 YaY Live 無法提供服務時。
2. 服務變更權利:YaY Live 保留隨時停止或更改各項服務內容或依合約終止會員帳號服務之權利,且不另行個別通知。就停止或更改服務或終止會員帳號服務所可能產生之困擾、不便或損害,YaY Live 對會員或第三人均不負責。
3. 會員若有下列任一情形時,YaY Live 有權立即終止或變更任一會員帳號之服務。就終止或更改會員使用本服務所可能產生之困擾、不便或損害,YaY Live 對任何會員或第三人均不負任何責任:
(1) 會員登錄不實資料進行註冊;
(2) 以 YaY Live 名稱、「YaY Live」,或以類似前述所有個人、公司、平台或頻道名稱使用本服務者;
(3) 使用中文、英文及數字以外之字元或不雅文字、圖像,作為本服務之名稱;
(4) 冒用他人名義申請本服務之帳號;
(5) 使用虛偽不正之方式進行儲值;
(6) 違反本條款或 YaY Live 相關會員規範時;
(7) 將會員帳號買賣、轉讓、出租或出借予他人使用;
(8) 違反公共安全、公共秩序或善良風俗之行為;
(9) 違反現行法律之行為;
(10) 利用任何系統或工具,對 YaY Live 所提供之服務、伺服器或網路進行干擾、惡意攻擊或破壞;
(11) 利用插件、病毒程式、程式漏洞(BUG)或其他違反公平合理之方式參與平台活動。
八、責任限制
1. 您了解 YaY Live 對於 YaY Live 所提供之服務,除本條款或其他會員相關規範另有規定者外,對各類服務並不提供任何明示或默示的擔保,包括但不限於商業適用性、特定目的之適用性及未侵害他人權利。
2. YaY Live 不保證各項服務的穩定、無誤及不中斷。您認知並同意承擔使用本服務的風險及可能發生的任何損害:若因 ISP 網路線路品質不良或 YaY Live、其他協力廠商或相關電信業者網路系統軟硬體設備之故障或失效,或人為操作上之疏失而造成中斷、暫時無法使用、延遲、資料傳輸或儲存上之錯誤,或遭第三人侵入系統竄改或偽造變造資料等,造成您的損失,YaY Live 將不負賠償責任。
3. YaY Live 將依既有之規劃提供各項服務,對於使用者之特殊需求,YaY Live 不擔保本服務將完全符合您的需求。
4. 因您使用本服務而生之相關賠償限制均以事實發生之服務器所在當地國家相關法規為準。若您對於本服務內容加以修改或不依本條款使用方式與其他軟體連結使用,及其他非可歸責於 YaY Live 而導致之損害,YaY Live 概不負責。
5. 在任何情況下,YaY Live 均不對任何間接性、後果性、懲罰性、偶然性、特殊性或刑罰性的損害,包括因用戶使用本服務而遭受的利潤損失,承擔責任(即使 YaY Live 已被告知該損失的可能性亦然)。
6. YaY Live 對您承擔的全部責任,無論原因為何或何種模式,以您在會員有效期間內使用本服務而支付給 YaY Live 的費用為限(若有)。
九、詐欺行為管理規則
誠信為使用 YaY Live 服務之基本原則。所稱「詐欺行為」,係指以虛假承諾、虛構事實、隱瞞真相、故意誤導、冒充他人身份、故意混淆身份等方式,騙取他人於 YaY Live 平台內之虛擬物品(包括但不限於虛擬幣、虛擬禮物等,以下同)或其他財產之行為,包括但不限於使用近似暱稱混淆他人、冒充朋友、冒充官方人員等情形。
若用戶經查證有實施詐欺行為之情事,本公司得依其情節輕重,採取本條款所列之各項處置措施,包括但不限於:
(1) 收回該用戶於 YaY Live 平台內之虛擬物品;
(2) 暫時禁止該用戶登入;
(3) 關閉該用戶帳號;
(4) 依法追究其法律責任。
即便用戶本身並未主動參與詐欺行為,惟若其取得之虛擬物品係源自他人之詐欺行為,並經轉移或分配予該用戶者,為保護受害用戶之權益,並維護 YaY Live 平台之公平性及良好使用秩序,本公司有權決定是否收回該用戶因此購買或取得之虛擬物品。
十、與儲值相關之行為規範
用戶僅得於 YaY Live 平台內,或透過本公司指定並核准之管道進行儲值。未經本公司許可,用戶不得透過任何第三方進行 YaY Live 平台虛擬物品之交易、兌換或購買,亦不得以任何方式主張其本人及/或第三方得提供 YaY Live 平台虛擬物品之儲值、兌換或購買服務。
誠信亦為用戶進行儲值行為時應遵循之基本原則。用戶儲值成功後,有權使用其所取得之虛擬商品或加值服務(以下稱「儲值權益」)。用戶如對 YaY Live 服務有任何疑義、不滿或建議,得隨時透過客服管道通知本公司。用戶不得自行以其他方式進行退款操作,而應立即透過客服管道通知本公司處理,本公司將於處理退款時同步扣除相對應之儲值權益;若用戶於退款程序完成後仍繼續占用或使用相對應之儲值權益,本公司將採取嚴正之處置及懲罰措施,包括但不限於警告、限制使用、重置權益價值、限制帳號功能、凍結帳號、強制登出、收回 YaY Live 平台虛擬物品、刪除相關內容、關閉個人帳號、帳號初始化,以及採取其他必要措施以防止用戶再次從事此類行為。如情節重大,本公司保留依法追究用戶相關法律責任(包括但不限於民事及刑事責任)之權利。

十二、其他
1. YaY Live 保留增訂及修改本條款及相關會員規範之權利。本條款如有增訂或修改時,恕不再另行個別通知,您可在 YaY Live 網站或本平台內即時檢閱新版條款。如果您不同意修改的內容,請勿繼續使用本服務。如果您於公告後繼續使用本服務,則視為您已接受並同意讀受修訂條款。
2. 本條款部分無效時,不影響其他條款之效力。本條款之標題僅供方便而設,不具任何法律或契約效力。

Preamble
QIAN YING ENTERPRISE (hereinafter "the Company") is the developer and operator of YaY Live (hereinafter "the Platform" or "this Service"). To protect your (hereinafter the "User's") rights, please carefully read the following terms (hereinafter "these Terms") before registering, logging in, or using the Platform's services. When you click to log in, you are deemed to have carefully reviewed and understood these Terms, and to agree to fully comply with the Platform's management rules and regulations.
If you are a minor under the age of eighteen, you should carefully read and fully understand these Terms together with your legal guardian, and obtain your legal guardian's consent, before using this product.
This Platform primarily provides services in Taiwan, Hong Kong, Singapore, and Malaysia. Users shall also comply with the applicable laws of their respective location.
The content of these Terms may be updated by the Company at any time, and you may review the latest version within this product. Once updated terms are published, they replace the original terms. If you do not agree to accept the updated terms, you should not continue using the services provided by this product.
The Company may, based on the needs of this product and related services or operations, unilaterally decide to have its affiliates, controlling companies, successor companies, or third-party companies recognized by the Company continue operating this product.
Chapter 1 — Account Registration and Use
1. You agree to provide truthful and accurate personal information when registering as a new member. If any information you have registered subsequently changes, it should be updated online promptly. If any personal information you provide is false or misleading (including using improper means to add stored value, which is also considered false personal information), the Company may terminate your membership and your right to use the various services at any time.
2. You must independently choose your account name and password to create an account. If your account name infringes any copyright or trademark, the Company reserves the right to delete your account.
3. An account may only be used by one person at a time. Ownership of, and rights relating to, your registered YaY Live account belong to the Company; after completing registration, you only obtain the right to use the account. You are fully responsible for safeguarding your account and password, and you agree not to transfer, rent, or lend your account or password to others for use.
4. If you discover that your account has been used illegally, or notice any abnormal activity undermining the security of use, please notify the Company immediately. However, if your account and password are used illegally by others due to your own negligence in safekeeping, the Company will not be responsible.
5. You understand and agree that if you fail to log in and use your account for more than one consecutive year after registration, the Company has the right to suspend or delete your account at any time, and any points within the account will become invalid (unless otherwise provided by law).
6. When you wish to permanently stop using your registered account, you may follow the account cancellation process provided by the Company to cancel the account. Please note that, in order to protect your interests, the Company's, and those of other relevant parties, the Company will review your account to confirm whether cancellation is permitted. The Company will only conduct necessary and reasonable verification and review of your cancellation request, and will not unduly restrict your rights; however, if the Company determines your account is unsuitable for cancellation, it may restrict your cancellation request.
Chapter 2 — Service Content and Usage Rules
1. You may obtain the client application for this product or access related websites through pre-installation, third-party downloads authorized by the Company, or other means. If you did not obtain this product's software from the Company or a third party authorized by the Company, the Company cannot guarantee that an unofficial version of the software can be used normally, and any loss you suffer as a result is unrelated to the Company.
2. You fully understand and agree that this product is a peer-to-peer information service platform based on user relationship networks. You are fully responsible for the authenticity, legality, and validity of the information you register on the platform. You shall not impersonate others or use another person's identity to disseminate any information, and shall not maliciously use your registered account to cause other users to be misled. Otherwise, the platform has the right to immediately stop providing services and cancel your account, and you shall bear all legal liability arising from this.
3. This product does not assume any separate or joint warranty responsibility for the authenticity, legality, harmlessness, or validity of any information you upload. You are solely responsible for any legal liability arising from the information you disseminate.
4. In order to increase the exposure and publishing efficiency of your uploaded and transmitted content, you agree that all content published under your account on this product, and on other versions of this product (including later-developed versions), is authorized to be automatically synchronized between versions using your account. Your actions such as publishing, modifying, deleting, and configuring settings on the platform will be synchronized across the aforementioned versions of the product.
5. You fully understand and agree that YaY Live only provides a platform for information sharing, transmission, and acquisition, and users must be responsible for all actions under their registered account, including any content they transmit and any resulting consequences. If, while using this service, there is any violation of legal provisions, including but not limited to infringement of the intellectual property or other rights and interests of the Company or third parties, the user shall bear the relevant legal responsibility. If the Company violates the law, these Terms, or the relevant membership regulations, resulting in damage, expenses, or third-party claims against the Company, the user responsible shall be liable to the Company for compensation for damages. Users should also make their own judgment on the content within YaY Live and bear all risks arising from the use of such content, including risks caused by reliance on the accuracy, completeness, or practicality of the content. The Company cannot and will not be responsible for any actions or losses of users.
6. Any content you transmit in this service, or through YaY Live, does not represent YaY Live's views or policies, and YaY Live will not be held responsible for this.
7. You fully understand and agree that, due to business development needs, unforeseen circumstances, or similar factors, this product may be temporarily changed, suspended, restricted, or terminated in part or in whole. The Company will make efforts, but does not guarantee, that prior notice can be given.
8. The services provided by YaY Live may include advertisements, and you agree to the display of advertisements from YaY Live and third-party suppliers and partners during use. You should make your own judgment on the authenticity and reliability of such advertising or promotional information and be responsible for that judgment. Unless otherwise specified by applicable law, any purchase, transaction, or damage or loss suffered by you as a result of such advertising or promotional content shall be borne by you, and YaY Live shall not be liable.
Chapter 3 — Prohibited Conduct
In addition to complying with these Terms and YaY Live's relevant member regulations, when using YaY Live (such as posting, publishing voice messages, posting photos, short videos, etc.), you agree to comply with laws and regulations, social good customs, and the relevant provisions of internet international usage practices and etiquette. You shall not use this service to engage in the following (this list is illustrative, not exhaustive):
1. Harming national security, leaking national secrets, or damaging national reputation and interests;
2. Inciting racial hatred, carrying racial discrimination, or undermining national/ethnic unity;
3. Spreading rumors, disrupting social order, or undermining social stability;
4. Indecency, gambling, violence, homicide, terrorism, or incitement to commit crimes (including high-risk content that endangers the physical and mental health of the performer or others);
5. Insulting or defaming others;
6. Illegally infringing on the intellectual property or other rights of others (including but not limited to the rights of name, portrait, reputation, privacy, and agency);
7. Posting, disseminating, transmitting, publicly broadcasting, or otherwise displaying private, licensed, proprietary, aggressive, intimidating, violent, inciting, explicit, discriminatory, unlawful, hateful, harassing, obscene, pornographic, or sexually suggestive materials, texts, files, information, user names, images, drawings, illustrations, photos, sketches, sound and video editing, sound, music works, works, links, or any other content;
8. Spreading commercial advertisements, or similar commercial solicitation information, excessive marketing information, or junk information;
9. Using this platform for money laundering, terrorist financing, or providing financial or other restricted services to any potentially sanctioned person or entity;
10. Other violations of laws, these Terms, or YaY Live-related membership regulations, or content that goes against public order or good customs;
11. Content including terrorism, violent and bloody content, high risk, or content that endangers the physical and mental health of the performer or others, including but not limited to: any violent and/or self-harm behavior content; any content that threatens one's own or others' personal safety and/or property rights by performing with dangerous equipment such as knives; encouraging or inducing others to participate in dangerous or illegal activities that may cause personal injury or death.
YaY Live has the right, based on its reasonable judgment, to lawfully stop the transmission of any content that violates the law, these Terms, or YaY Live-related membership regulations, or that infringes, obstructs, or threatens the rights or safety of anyone, or impersonates others, and has the right to independently determine and take appropriate legal action against any person who violates these Terms, including but not limited to deleting unlawful, infringing, or inappropriate content from this service, terminating the violator's membership, preventing them from using all or part of YaY Live's services, and preserving relevant information and reporting to relevant authorities in accordance with legal requirements.
Chapter 4 — Intellectual Property
All works, service software, visual arrangements, images, text, or their compilation, as well as other YaY Live logos, product and service names, and other materials on YaY Live, and the copyright, patent rights, trademarks, trade secrets, and other intellectual property rights, ownership, or other rights therein, belong to YaY Live or its rights holders. Except with the prior lawful authorization of YaY Live or its individual rights holders, no one is permitted to reproduce, adapt, edit, distribute, transmit, or use them for rental, sale, lending, or other purposes in any form without authorization. Violators shall bear all legal responsibility, and YaY Live has the right to request compensation in accordance with the law.
Chapter 5 — Privacy Protection
Unless required by law or requested by a relevant competent authority, YaY Live will not arbitrarily sell, exchange, rent, or disclose your name, address, email address, and other legally protected personal information without your authorization. You also agree that, within the scope permitted by law, YaY Live may allow its affiliated enterprises or partners to use your personal information to provide other services. You agree that YaY Live may compile your personal information into member statistical data; if such statistical data does not involve disclosing the personal identity of any member, you agree and allow YaY Live to use it for any lawful public purpose. You agree that YaY Live may lawfully disclose your personal information under the following circumstances:
1. At the request of the judiciary, police, or other competent authorities based on legal procedures;
2. When your behavior violates laws, regulations, or YaY Live-related membership regulations;
3. In emergency situations, in accordance with laws and regulations, to protect the personal safety of other YaY Live members or third parties.
Use of Cookies: If you have not declined to accept cookies, this application will set or access cookies on your device so that you can log in to or use the services or features of this application platform that depend on cookies. This application uses cookies to provide you with more tailored personalized services, including promotional services. You have the right to choose to accept or reject cookies, and you can refuse to accept cookies by modifying the settings. However, if you choose to refuse to accept cookies, you may not be able to use the network services or features of this application that depend on cookies. The relevant information obtained through the cookies set up in this application will be subject to this policy.
Information Security: Please be careful not to disclose important information and data such as your various property accounts, bank cards, credit cards, third-party payment accounts, and corresponding passwords when using the YaY Live service. Otherwise, any losses caused by this will be borne by the user. When using the YaY Live service, users may not publish or upload information they consider private to YaY Live, nor may they spread such information to others through the YaY Live service. If privacy leakage is caused by the user's own behavior, the user shall bear the responsibility on their own. YaY Live may collect user information when providing services, and will inform users of the intended source. The user is aware and understands that YaY Live shall not be liable for any legal liabilities arising from the occurrence of the following related matters:
1. YaY Live provides your personal information in accordance with legal provisions or requirements from relevant government or judicial authorities;
2. Any personal information leakage caused by users informing others of, or sharing with others, important information such as account information and passwords, or other personal information leakage not caused by YaY Live's own actions;
3. Any information leakage caused by hacker attacks or computer virus intrusions;
4. Information leakage caused by force majeure.
Chapter 6 — Personal Data Protection
In accordance with the personal data protection laws applicable in YaY Live's operating jurisdictions (Taiwan, Hong Kong, Singapore, and Malaysia), YaY Live informs users of the following personal data protection matters:
1. YaY Live may collect, process, and use your personal data in accordance with YaY Live's privacy protection policy, applicable personal data protection laws, and other relevant regulations, for purposes such as member registration, browsing web pages or the app, online transactions, online activities, providing services, and marketing.
2. You may be asked to provide the following personal information as needed: name, date of birth, contact information (including but not limited to phone number), email address or residential address, or other information that can directly or indirectly identify you.
3. You agree that YaY Live may use the personal information you provide for purposes such as identity verification, confirmation of changes to personal data, message promotion, community contact, prize/award notifications, and notice of rule changes, in order to confirm your identity, communicate with you, and provide you with relevant services and information from YaY Live and its affiliates or partners, as well as other uses in accordance with the privacy protection policy.
4. You agree that the period during which YaY Live will use your personal information runs from the present date until all contracts between you and YaY Live have been terminated.
5. You may, in accordance with applicable personal data protection law, (1) request to query or view your personal data held by YaY Live, or (2) request to supplement or correct it. However, YaY Live may decline such requests where necessary for the performance of YaY Live's duties or business operations.
6. You are free to choose whether to provide YaY Live with your personal information; however, if the personal information you provide is reported, or found by YaY Live, to be insufficient to confirm your identity, or if there are other circumstances such as impersonation, misuse of information, or false information, YaY Live has the right to temporarily suspend services to you, including any prize/award activities and various promotions. We apologize for any inconvenience this may cause.
7. When you use YaY Live's recharge or consumption features, we will collect your recharge records and consumption records so that you can review your own transaction history, while protecting your property and virtual property to the greatest extent possible. The above information is sensitive information, but its collection is necessary to achieve the relevant functions; otherwise, the transaction cannot be completed. We cannot obtain your personal property information based solely on this information, nor can we identify a specific individual's identity from it.
8. In addition to the personal data protection matters described above, various items involving personal data protection are also covered elsewhere within these Terms.
Chapter 7 — Service Suspension, Termination, and Change
1. In any of the following situations, YaY Live has the right to stop or interrupt the provision of services. YaY Live is not responsible to any member or third party for any inconvenience or damage caused as a result:
(1) Necessary maintenance and construction of the software, hardware, and electronic communications equipment related to this service;
(2) When sudden software or hardware equipment or electronic communications equipment malfunctions occur;
(3) In emergency situations, to maintain the personal safety of other members or third parties;
(4) When any software errors, viruses, trojans, or similar programs that may be transmitted through this service by third parties prevent YaY Live from providing all or part of the service;
(5) When YaY Live is unable to provide services due to force majeure factors such as natural disasters.
2. Right to Change Services: YaY Live reserves the right to stop or change various service contents at any time, or to terminate member account services in accordance with the contract, without separate individual notice. YaY Live is not responsible to members or third parties for any inconvenience or damage that may arise from stopping or changing services, or from terminating member account services.
3. If a member falls under any of the following circumstances, YaY Live has the right to immediately terminate or change the service for any member account. YaY Live is not responsible to any member or third party for any inconvenience or damage that may arise from terminating or changing a member's use of this service:
(1) Member registration using false information;
(2) Using the YaY Live name, "YaY Live," or similar names to any of the aforementioned individuals, companies, platforms, or channels to use this service;
(3) Using characters, indecent text, or images other than Chinese, English, and numbers as the name of this service;
(4) Using someone else's identity to apply for an account for this service;
(5) Using false or improper methods to add stored value;
(6) Violating these Terms or YaY Live-related membership regulations;
(7) Selling, transferring, renting, or lending member accounts to others for use;
(8) Behavior that violates public safety, public order, or good customs;
(9) Violations of applicable law;
(10) Using any system or tool to interfere with, maliciously attack, or damage the services, servers, or network provided by YaY Live;
(11) Participating in platform activities through plugins, viruses, exploiting program bugs, or other means that violate principles of fairness and reasonableness.
Chapter 8 — Limitation of Liability
1. You understand that, except as otherwise provided in these Terms or other member-related regulations, YaY Live does not provide any express or implied warranties regarding the services it provides, including but not limited to commercial applicability, suitability for specific purposes, and non-infringement of the rights of others.
2. YaY Live does not guarantee the stability, accuracy, and uninterrupted operation of its various services. You acknowledge and are willing to bear the risks of using this service and any damages that may arise: if interruption, temporary inability to use, delay, or data transmission/storage errors are caused by poor ISP network line quality, malfunction or failure of network system software or hardware equipment belonging to YaY Live, other cooperating manufacturers, or related telecommunications operators, or human operational negligence, or if third parties invade the system to tamper with or forge data, resulting in loss to you, YaY Live will not be liable for compensation.
3. YaY Live will provide various services in accordance with its existing plans; for the special needs of users, YaY Live does not guarantee that this service will fully meet your needs.
4. Any compensation limitations arising from your use of this service shall be subject to the relevant laws and regulations of the country where the server is located, as applicable. If you modify the content of this service, or use it in a manner inconsistent with these Terms or in conjunction with other software, and any other damages not attributable to YaY Live, YaY Live shall bear no responsibility.
5. Under no circumstances shall YaY Live be liable for any indirect, consequential, punitive, incidental, special, or exemplary damages, including profit losses suffered by users as a result of using this service (even if YaY Live has been informed of the possibility of such losses).
6. YaY Live's total liability to you, regardless of the reason or mode, shall be limited to the fees paid by you to YaY Live for using this service during the valid membership period (if any).
Chapter 9 — Fraud Management Rules
Honesty is a fundamental principle of using YaY Live's services. "Fraud" refers to obtaining another user's virtual items on the YaY Live platform (including but not limited to virtual currency, virtual gifts, and the like, collectively "virtual items") or other property through false promises, fabricated facts, concealment of the truth, deliberate misleading conduct, impersonation, or deliberate confusion of identity — including but not limited to using a similar nickname to confuse other users, impersonating a friend, or impersonating an official representative of the Platform.
If a user is found, upon verification, to have engaged in fraudulent conduct, the Company may, depending on the severity of the conduct, take any of the measures described in these Terms, including but not limited to:
(1) Recovering the virtual items held by that user on the YaY Live platform;
(2) Temporarily suspending that user's ability to log in;
(3) Closing that user's account;
(4) Pursuing legal liability against that user in accordance with law.
Even where a user did not actively participate in fraudulent conduct, if the virtual items obtained by that user originated from another person's fraudulent act and were transferred or allocated to that user, the Company has the right to decide whether to recover the virtual items purchased or obtained by that user, in order to protect the rights of the victimized user and to maintain fairness and good order on the YaY Live platform.
Chapter 10 — Rules Relating to Recharge Conduct
Users may only recharge (add stored value) through the YaY Live platform itself, or through channels designated and approved by the Company. Without the Company's permission, users shall not conduct any transaction, exchange, or purchase of YaY Live platform virtual items through any third party, nor claim, in any manner, that they and/or a third party are authorized to provide recharge, exchange, or purchase services for YaY Live platform virtual items.
Honesty is likewise a fundamental principle that users must observe when recharging. After a user successfully recharges, the user is entitled to use the virtual goods or value-added services obtained (the "Recharge Benefits"). If a user has any misunderstanding, dissatisfaction, or suggestion regarding YaY Live's services, the user may notify the Company at any time through the customer service channel. Users shall not attempt to process a refund through any other means, and shall instead notify the Company immediately through the customer service channel; the Company will deduct the corresponding Recharge Benefits when processing any refund. If a user continues to occupy or use the corresponding Recharge Benefits after a refund has been processed, the Company will impose strict disciplinary measures, including but not limited to warnings, restrictions, resetting the value of benefits, limiting account functions, freezing the account, forced log-out, recovery of YaY Live platform virtual items, deletion of related content, closure of the account, account reset, and other measures necessary to prevent the user from engaging in such conduct again. In serious cases, the Company reserves the right to pursue the user's legal liability (including but not limited to civil and criminal liability) in accordance with law.

1. YaY Live reserves the right to add to or amend these Terms and related membership regulations. If these Terms are added to or amended, no separate individual notice will be given; you may review the new version of the terms at any time on YaY Live's website or within this platform. If you do not agree to the amended content, please do not continue to use this service. If you continue to use this service after the announcement, it will be deemed that you have accepted and agreed to the revised terms.
2. When any part of these Terms is partially invalid, it does not affect the validity of the other provisions. The titles of these Terms are for convenience only and have no legal or contractual effect.
